Some of the administrative procedures prior to the beginning of your client´s activity in Spain may depend on the location where the activity will be developed.
In any case, for the constitution of the new company it will be necessary to request a corporate name from the Central Commercial Register, develop bylaws consistent with the characteristics of the company and its business group, determine what the structure of the management body will be, and who are the directors… The foregoing shall be subject to notarization and then the public deed shall be duly registered in the Commercial Register.
The new company must be also registered before the Tax authorities and in the relevant section of the economic activities tax. It will also have the duty to submit different tax returns and labour returns on a monthly, quarterly and/or annual basis. The fact that it belongs to a multinational group may suggest certain tax planning and financial aspects that could be considered further after contact with your customer.
The subsidiary may also be affected by the Data Protection Act, and will have to inform the Ministry of Industry regarding some details of the foreign investment.
